Subject matter of the contract<\/span><\/span><\/strong><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">The contractor undertakes to conduct the search and selection of suitable specialists and managers on behalf of the client. The client grants the contractor the right to conduct contract negotiations with potential candidates on its behalf and at its expense.<\/span><\/span><\/p><p class=\"p2\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto; min-height: 22px;\"><span style=\"font-size: 13.0pt;\">\u00a0<\/span><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><strong><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">3. Scope of services<\/span><\/span><\/strong><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">The Contractor will conduct the search for suitable candidates based on the requirement profiles provided by the Client. The Contractor will make every reasonable effort to find qualified candidates. However, the Contractor does not guarantee the successful placement of specialists and managers.<\/span><\/span><\/p><p class=\"p2\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto; min-height: 22px;\"><span style=\"font-size: 13.0pt;\">\u00a0<\/span><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><strong><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">4. Fee<\/span><\/span><\/strong><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">A fee is agreed upon for the contractor's brokerage services. The amount of the fee is based on the agreed terms and conditions and will be communicated to the client before the brokerage services begin. Confidentiality<\/span><\/span><\/strong><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">The contractor undertakes to treat all information received in the course of the brokerage activity as confidential and to use it exclusively for the agreed purpose. Information will only be passed on to third parties with the express consent of the client.<\/span><\/span><\/p><p class=\"p2\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto; min-height: 22px;\"><span style=\"font-size: 13.0pt;\">\u00a0<\/span><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><strong><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">6. Liability for indirect damages or lost profits is excluded. The client is obligated to provide the contractor with all necessary information and documentation to enable successful brokerage activities.<\/span><\/span><\/p><p class=\"p2\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto; min-height: 22px;\"><span style=\"font-size: 13.0pt;\">\u00a0<\/span><\/p><p class=\"p1\" style=\"margin: 0cm; font-size-adjust: none; font-kerning: auto; font-optical-sizing: auto;\"><strong><span class=\"s1\"><span style=\"font-size: 13.0pt; font-family: UICTFontTextStyleBody;\">7. Both parties have the right to terminate the agreement at any time without giving reasons. The place of performance and jurisdiction for all disputes arising from this contract is the registered office of the Contractor. Should individual provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.
