The following General Terms and Conditions (GTC) govern the contractual relationship between Artemis Synergy GmbH (hereinafter referred to as the „Contractor“) and its clients (hereinafter referred to as the „Contractor“) in connection with the placement of freelance and permanent professional and management staff.
The contractor undertakes to conduct the search and selection of suitable professional and management personnel on behalf of the client.
The client grants the contractor the right, within the framework of the respective placement assignment, to contact potential candidates and to conduct contract negotiations in connection with the intended placement.
The contractor conducts the search for suitable candidates based on the requirements profiles and information provided by the client.
The contractor will make all reasonable efforts to identify suitable and qualified candidates and present them to the client.
No guarantee is given for the successful placement or recruitment of a position.
A fee is agreed upon for the contractor's mediation activities.
The amount of the fee is determined by the individually agreed terms and conditions and is communicated to the client before the start of the mediation process.
In addition, the remuneration arrangements stipulated in the respective framework contract or in the respective individual agreement apply.
The contractor undertakes to treat all confidential information received as part of the mediation activities in accordance with legal and contractual requirements and to use it solely for the agreed purpose.
The disclosure of confidential information to third parties only takes place insofar as this is necessary for the execution of the brokerage assignment or is legally permissible, or subject to the prior consent of the client.
The contractor is liable for damages in accordance with statutory provisions, insofar as they are based on intentional or grossly negligent conduct.
Liability for indirect damages or lost profits is excluded, insofar as legally permissible.
The client is obliged to provide the contractor with all the information and documents necessary for the performance of the mediation activity in full and truthfully.
The brokerage agreement is concluded for an indefinite period unless a different agreement has been made.
Both contracting parties are entitled to terminate the contract at any time without giving reasons, unless deviating contractual termination provisions have been agreed upon.
Any services already rendered as well as costs incurred and agreed upon up to the date of termination of the contract, or any claims for compensation, must be paid by the client.
The law of the Federal Republic of Germany applies.
The place of performance and the place of jurisdiction for disputes arising from or related to the contractual relationship are, insofar as legally permissible, the registered office of the contractor.
Should any provisions of these GTC be wholly or partially invalid or unenforceable, the validity of the remaining provisions hereof shall remain unaffected.
The applicable legal regulations take effect in place of any ineffective or unenforceable provision.

The placement can involve both projects or freelance activities as well as positions within a permanent employment relationship.
The contractor assists the applicant in finding suitable job offers or projects and accompanies him/her during the placement process.
As part of the placement assignment, the applicant grants the contractor the right to contact potential employers or clients and to conduct conversations and contract negotiations related to a possible placement.
The contractor conducts the search for suitable job offers or projects based on the qualifications, work experience, documents, and personal or professional aspirations provided by the applicant.
The contractor will make all reasonable efforts to identify suitable job offers or projects and to support the applicant in the recruitment process.
No guarantee is given for a successful placement, assignment or conclusion of an employment contract.
The applicant generally incurs no costs or mediation fees for the contractor’s mediation activities.
The contractor undertakes to treat the confidential information and personal data obtained as part of the mediation activities in accordance with legal and contractual requirements and to use them solely for the intended purposes.
The disclosure of information and application documents to potential employers, clients, or other third parties involved in the placement process takes place within the framework of the consent given and in accordance with applicable data protection regulations.
The details regarding the processing of personal data are provided in the respective privacy notices and consent forms of Artemis Synergy GmbH.
